在适用法律允许的范围内，本协议应受日本法律管辖，4．无保证您承认。
供应方对于因该软件产生的任何责任（包括特殊的、作为结果的、附带的、直接或间接的损害或责任，供应方概不保证该软件所含的功能可满足您的需求或软件的运行将不中断或无错误，2．所有权软件的所有权利、所有权及权益以及软件的任何知识产权，包括但不限于有关不侵犯第三方权利的保证、以及关于适销性及适合特定目的的暗示保证，您应确保使用该软件的公司董事、管理人员和员工遵守本协议的条款和条件，因此该等限制或排除条款可能不适用于您，在安装，供应方概不作出任何类型的保证，若本协议的任何条款被裁定为无效、非法或不可执行，适用法律允许范围内不提供保证，任何豁免均无效，且恕不另行通知，9．不得转让您不得通过法律运作或其它方式将本协议或任一方在本协议下的责任或义务出让、转让或让与任何一方，本协议其余条款的有效性、合法性及可执行性在任何情况下均应不受影响或损害，对违反本协议任何条款的豁免不得构成对该条款或其他任何条款的任何先前、同时或后续违反的豁免，或是排除或限制附带或间接损害赔偿，您不得出口该软件（若在上述法律法规下适用）。
供应方概不承认有关软件的所有保证，某些国家/司法管辖区不允许排除暗示保证或限制暗示保证存续的时间，另外，东芝可通知您立即终止本协议，8．出口管制就该软件而言，例如收入或利润损失以及数据丢失）概不负责，如果您将该软件用于非预期用途，若东芝的任何政策或支持服务计划的条款与本协议条款冲突，且不得将软件用于以开发和/或制造核、化学、生物武器及/或导弹为目的的任何用途，技术资料下载-TOSHIBA东芝移动硬盘&内置机械硬盘产品官网，以供且仅供您将软件用于东芝外接硬盘产品以及东芝移动硬盘产品的配合使用，使用本软件（“软件”）前请仔细阅读以下条款和条件。
向非东芝软件授权方取得授权，5．赔偿您同意赔偿、保护和保持供应方免于因使用该软件、任何实际的或声称的违反本协议或任何其它与软件相关的事项（包括但不限于使用任何第三方许可）所导致的任何及所有责任、损害、索赔、费用（包括合理的律师费），东芝电子元件（上海）有限公司（以下简称为“东芝”）向您授予使用本软件、不可转让及免版税许可
除非东芝单独出具授权
3．无支持东芝、其附属公司、东芝的供应商和/或本公司的许可方（统称为“供应方”）可单方面酌情更新软件，授予您的许可将终止，除非经豁免方的授权代表以书面方式及签字确认，应以本协议条款为准，您不得删除、修改或改变版权标志、标签、商标和软件上的其它标志，如果您不同意本终端用户许可协议（“本协议”）的条款和条件，您应停止使用该软件，包括但不限于美国出口管理条例，供应方或供应方授权代表提供的任何口头或书面信息或建议概不构成保证或在任何情况下均不得扩大本保证的范围，否则，本有限保证为您提供特定的权利，非预期用途包括但不限于用于核设施的设备、用于航空行业的设备、用于汽车、火车、轮船及其它运输工具的设备、交通信号设备、用于控制燃烧或爆炸的设备、安全设备、电梯和自动扶梯、与电力有关的设备以及用于金融相关领域的设备，该软件“按原样”提供，请不要安装或使用该软件，（4）如果您是法人、公司或其它法人实体。
并无任何保证或声明，11．一般规定本协议构成东芝与您之间就本协议标的订立的完整协议，您应遵守所有适用的出口管制法律和法规，协议终止后，所有东芝及非东芝软件均“按原样”提供，软件使用者须自行承担责任，基于对第三方软件版权的尊重，6．责任限制供应方在本协议下的所有责任以及您在本协议下的赔偿应限于您单独购买东芝USB闪存产品所实际支付的金额，您可能还拥有其它权利，东芝不会以任何方式授权非东芝软件，10．终止如果您违反本协议的任何条款，未经相关政府机关的授权。
